Advanced Micro Devices, Inc. Obtains Consents and Tenders

SUNNYVALE, CA -- 7/19/2000 -- Advanced Micro Devices, Inc. (NYSE: AMD) announced today that as of the close of business on July 19, 2000, it had obtained consents and tenders from registered holders of its 11% Senior Secured Notes due 2003 (the "Notes") representing more than 85 percent of the $400,000,000 aggregate principal amount of the outstanding Notes.

AMD said that the consent solicitation period for the Notes has expired. AMD said that as announced previously, the tender offer will expire at 5:00 p.m., New York City time, on August 2, 2000, unless extended.

Holders may tender their Notes until such time, but holders tendering after 5:00 p.m., New York City time, on July 19, 2000 will not be entitled to receive the consent payment, AMD said.
